Redepta Terms of Service

Effective Date: 1 December 2025

1. Acceptance of Terms

By creating an account, enrolling in a channel, or teaching on Redepta, you agree to be bound by these Terms of Service, our Privacy Policy, Refund Policy, and Acceptable Use Policy. If you do not agree, you may not use the Service.

2. Description of Service

Redepta operates an online platform that enables independent educators (“Educators”) to create and deliver premium, cohort-based, classical-tradition education (“Channels”) to students (“Students”). Redepta is not an accredited university, school, or degree-granting institution.

3. Eligibility

You must be at least 18 years old and fully able and competent to enter into binding contracts. You may not use the Service if you are barred from doing so under applicable U.S. or other export-control laws.

4. Account Registration & Security

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use.

5. Payment Terms & Stripe as Processor

All financial transactions are processed by Stripe, Inc. and its affiliates. Redepta never stores your full payment card information. By making a purchase, you authorize Stripe to charge the selected payment method according to the Educator’s pricing.

6. Revenue Split & Educator Payouts

Educators receive 90 % of all gross revenue generated from their Channels (net of payment-processing fees, refunds, and taxes). Payouts occur weekly on Fridays via Stripe Connect for all revenue cleared seven (7) days prior. Redepta retains a permanent 10 % platform fee.

7. Ownership of Channels & Student Relationships

Each Educator fully owns their Channel, curriculum, live sessions, student list, and all associated intellectual property. Redepta claims no ownership over Educator content or student relationships.

8. License Granted to Redepta

By uploading content, you grant Redepta a worldwide, non-exclusive, royalty-free license to host, cache, transcribe, display, and distribute that content solely for the purpose of operating the Service and issuing diplomas.

9. Perpetual License Granted to Students

Upon payment, each Student receives a worldwide, perpetual, non-transferable license to access and use the Channel materials for personal, non-commercial purposes, even if the Educator later removes or terminates the Channel.

10. Diplomas & Certificates

Diplomas issued by Redepta are commemorative only. They confer no formal academic credit, professional qualification, or accreditation unless explicitly stated otherwise by the Educator and recognized by a third-party institution.

11. Refunds & Cancellations

All purchases are governed by our separate Refund & Cancellation Policy. Where required by law (e.g., EU 14-day cooling-off period), refunds will be issued accordingly. After a live session has occurred or substantial materials have been accessed, purchases are non-refundable except at the Educator’s sole discretion.

12. Prohibited Conduct

You agree not to:

(a) record or redistribute live sessions without explicit permission,

(b) harass, defame, or threaten others,

(d) use bots or scrapers,

(e) impersonate any person,

(f) attempt to reverse-engineer or interfere with the Service, or

(g) violate any applicable law.

13. Termination & Suspension

We may suspend or terminate your access immediately, without notice, for breach of these Terms or at an Educator’s request regarding their own Channel. Upon termination, your right to access paid content ceases except for the perpetual license granted in §9.

14. Disclaimers of Warranty

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REDEPTA, ITS OFFICERS, DIRECTORS, AND EMPLOYEES SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM.

16. Indemnification

You agree to indemnify and hold harmless Redepta and its personnel from any claim, loss, or damage arising from your violation of these Terms, your content, or your use of the Service.

17. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.

18. Arbitration & Class Action Waiver

Any dispute arising out of these Terms or the Service shall be resolved exclusively through final and binding arbitration under the JAMS Streamlined Arbitration Rules in Wilmington, Delaware. You waive the right to participate in a class action. You may opt out of arbitration within 30 days of first accepting these Terms by written notice to [email protected].

19. Changes to Terms & Contact

We may update these Terms at any time. Continued use after changes constitutes acceptance. Questions or notices should be directed to [email protected].
